These Terms of Service (“Terms”) govern your access to and use of the website, online store, products, content, communications, tools, and related services provided by Vibe Hoodie Shop.

Vibe Hoodie Shop is operated by KONIC LLC, a Wyoming limited liability company with its registered business address at 1309 Coffeen Avenue, Suite 1200, Sheridan, Wyoming 82801, United States.

Throughout these Terms, “Vibe Hoodie Shop,” “we,” “us,” and “our” refer to KONIC LLC and the Vibe Hoodie Shop online store, as applicable. “Services” refers to our website, online store, products, communications, and related services.

Our online store is hosted through Shopify, which provides the e-commerce infrastructure used to display products, operate checkout, process orders, and provide related store functionality.

By visiting the website, placing an order, creating an account, submitting content, subscribing to communications, or otherwise using the Services, you agree to these Terms and the policies incorporated into them by reference.

If you do not agree to these Terms, you must not use the Services.

1. Business Information

Neither the Wyoming registered address nor the Australian operational warehouse is an automatic return address.

Products must not be sent to either address unless Vibe Hoodie Shop provides written Return Authorization and confirms the applicable return destination.

2. Eligibility and Accounts

By agreeing to these Terms, you represent that you are at least the age of majority in your country, state, province, or territory of residence.

If you have not reached the age of majority, you may use the Services only with the permission and involvement of a parent or legal guardian where permitted by law.

You agree to provide accurate, current, and complete information when:

• Creating an account;
• Placing an order;
• Submitting payment information;
• Providing a delivery address;
• Requesting a cancellation, refund, return, exchange, or replacement; or
• Contacting Customer Support.

You are responsible for protecting your account credentials and for activity conducted through your account.

Notify Vibe Hoodie Shop promptly if you believe an account, order, or payment method has been used without authorization.

We may suspend, restrict, or close an account where we reasonably suspect fraud, payment abuse, unlawful activity, security risks, policy abuse, or a material violation of these Terms.

3. Products and Made-to-Order Production

Many Vibe Hoodie Shop products are printed, personalized, assembled, or manufactured after an order is placed.

Production may include:

• Artwork preparation;
• Printing or manufacturing;
• Personalization;
• Quality inspection;
• Packing; and
• Transfer to a shipping carrier.

Because products are often made specifically for an individual order, cancellations, modifications, returns, refunds, exchanges, and replacements are subject to the deadlines and procedures in our published policies.

We may modify or discontinue products, designs, colours, materials, sizes, or features before an order is accepted.

After an order is accepted, a material substitution or change will not be made without the customer’s approval unless permitted by applicable law.

4. Product Information and POD Tolerances

We make reasonable efforts to display product descriptions, measurements, photographs, mockups, colours, artwork, and other information accurately.

Actual product appearance may vary because of:

• Screen and display settings;
• Lighting conditions;
• Fabric, material, and texture;
• Ink and printing methods;
• Manufacturing processes; and
• Normal differences between production batches.

A minor colour difference between a digital image and the physical product is not necessarily a defect.

For print-on-demand products, a minor design-placement difference of up to approximately 1–2 inches from a digital mockup may fall within normal production tolerance, provided the product remains correctly made and usable.

A wrong colour variant, materially misplaced design, incorrect orientation, substantial colour discrepancy, significant printing defect, or other material production error remains eligible for review.

5. Orders and Acceptance

Submitting an order constitutes an offer to purchase the selected products under these Terms.

An automated order-confirmation message acknowledges receipt of the order but does not necessarily mean that the order has been finally accepted.

We may review, reject, limit, or cancel an order for reasons including:

• Payment authorization failure;
• Suspected fraud or unauthorized activity;
• Incorrect pricing or product information;
• Technical or website errors;
• Production or availability limitations;
• Shipping or destination restrictions;
• Sanctions, legal, or regulatory requirements;
• Promotion, refund, replacement, insurance, or discount abuse;
• Unusually large or repetitive orders; or
• A violation of these Terms or another Vibe Hoodie Shop policy.

We may limit quantities per customer, account, household, payment method, billing address, shipping address, or order.

If we cancel an order after collecting payment, we will process a refund for the applicable amount unless the transaction has already been reversed, disputed, or charged back.

6. Prices, Currency, Taxes, and Payments

Prices and transactions are generally displayed and processed in Australian dollars (AUD), unless checkout expressly displays another supported currency.

Prices displayed in another currency may be estimates. The final amount charged may depend on the exchange rate and fees applied by the customer’s bank, card issuer, PayPal, or other payment provider.

The order total displayed at checkout may include:

• Product charges;
• Shipping charges;
• Optional shipping-protection charges;
• Taxes collected by Vibe Hoodie Shop where applicable; and
• Other charges disclosed before submission.

International customers may separately owe import duties, value-added taxes, goods and services taxes, customs-clearance fees, brokerage charges, storage charges, currency-conversion fees, or local carrier charges.

Payment must be successfully authorized before production or fulfilment begins.

Available payment methods are those displayed at checkout.

We do not directly store complete payment-card numbers or card security codes on our own servers.

7. Cancellations and Modifications

Submit the request through our Modify or Cancel Order page or email support@vibehoodie.shop.

Include the order number and the exact requested action.

We will make a reasonable effort to apply an eligible change, but modifications cannot be guaranteed after production, fulfilment, shipping preparation, or carrier processing has begun.

After the first 24 hours, a correctly made product does not qualify for a free full refund solely because the customer changed their mind.

8. Shipping and Delivery

Total delivery time consists of order processing time plus shipping transit time.

Processing times, shipping charges, carriers, delivery estimates, remote-area surcharges, tracking procedures, customs responsibilities, expedited-shipping terms, and delivery-issue procedures are described in our Shipping Policy.

Delivery dates are estimates unless Vibe Hoodie Shop expressly confirms a specific delivery deadline in writing before production begins.

Delivery may be affected by:

• Production demand;
• Carrier congestion or disruption;
• Customs processing;
• Severe weather;
• Public holidays;
• Incorrect delivery information;
• Labour disruption;
• Regional emergencies; or
• Other circumstances outside our reasonable control.

If a parcel has not arrived within 30 business days from dispatch, contact Vibe Hoodie Shop so we can begin an investigation.

A carrier status of “Delivered” does not automatically qualify an order for a refund or replacement. Delivered-but-not-received claims may be subject to carrier investigation.

9. Returns, Refunds, Exchanges, and Replacements

Returns, refunds, exchanges, replacements, wrong-size requests, defective products, damaged products, lost parcels, and delivery issues are governed by:

• Refund Policy;
• Return Policy; and
• Exchange & Replacement Policy.

Claims relating to a delivered product generally must be submitted within 30 days from delivery.

A parcel that appears lost and was never marked as delivered generally must be reported within 30 days after the latest estimated delivery date.

After receiving a complete claim and all reasonably required evidence, Vibe Hoodie Shop will normally email an approval or rejection decision within 2 business days.

If the customer selected the wrong size but the selected size was correctly produced and shipped, a one-time replacement may be available for A$20 per replacement product.

The A$20 charge includes one remake and standard replacement shipping. The original product does not need to be returned.

Approved refunds are processed to the original payment method within 3–5 business days. Additional posting time may be required by the payment provider.

A physical return must not be sent unless Vibe Hoodie Shop provides written Return Authorization and confirms the applicable return address.

10. SMS and Email Marketing

SMS Marketing

By providing a mobile telephone number and affirmatively opting in, you consent to receive text messages from Vibe Hoodie Shop where permitted by law.

Messages may include:

• Promotional offers;
• Abandoned-cart or abandoned-checkout reminders;
• Order updates;
• Delivery notifications; and
• Customer-service communications.

Consent to receive promotional SMS messages is not a condition of purchase.

Message frequency may vary. Message and data rates may apply.

You may opt out of promotional SMS messages by replying STOP. Where supported, reply HELP for assistance.

SMS opt-in records and telephone numbers collected for messaging will not be sold or disclosed to another business for that business’s own independent marketing purposes.

Email Marketing

If you subscribe to promotional email, we may send newsletters, promotions, product announcements, surveys, and abandoned-cart reminders.

You may unsubscribe using the link included in a promotional email or by contacting support@vibehoodie.shop.

You may continue to receive necessary transactional communications relating to orders, payments, shipping, security, refunds, returns, replacements, support requests, or legal notices.

11. Intellectual Property

Website content—including text, photographs, artwork, graphics, designs, logos, videos, icons, product descriptions, page layouts, software, and branding—is owned by or licensed to KONIC LLC, Vibe Hoodie Shop, or their licensors, suppliers, designers, and content partners.

Except where permitted by law or expressly authorized in writing, you may not:

• Copy, reproduce, republish, or distribute website content;
• Modify or create derivative works;
• Sell, resell, license, or commercially exploit content;
• Scrape, crawl, mirror, or systematically download content;
• Remove ownership notices; or
• Use Vibe Hoodie Shop branding in a misleading or unauthorized manner.

Copyright and Rights Complaints

If you believe that content, artwork, photographs, designs, product listings, or other material available through Vibe Hoodie Shop infringes your copyright, trademark, design right, publicity right, or another proprietary right, email support@vibehoodie.shop.

Include:

• Your name and contact information;
• Identification of the rights owner;
• A description of the protected work, mark, design, or other right;
• The exact URL or material being reported;
• An explanation of the alleged infringement;
• A good-faith statement that the use is not authorized;
• A statement confirming the accuracy of the notice and your authority to act; and
• Your physical or electronic signature.

If United States copyright law applies, include any additional statements required for a valid notice under the Digital Millennium Copyright Act.

Submitting a DMCA-style notice does not determine whether United States law applies to the underlying dispute.

12. User Content and Feedback

If you submit reviews, comments, photographs, videos, artwork, personalization, suggestions, proposals, feedback, or other materials, you represent that you have the right to submit them.

You grant Vibe Hoodie Shop a non-exclusive, worldwide, royalty-free, transferable, and sublicensable licence to use, reproduce, modify, publish, display, distribute, and otherwise use submitted materials for operating, improving, supporting, and promoting the Services, subject to applicable privacy law.

You must not submit content that:

• Infringes intellectual-property, privacy, publicity, or other rights;
• Contains unlawful, defamatory, abusive, discriminatory, or threatening material;
• Contains malware or deceptive links;
• Misrepresents your identity; or
• Contains confidential information you are not authorized to disclose.

We may monitor, edit, reject, or remove submitted content where permitted by law.

13. Prohibited Uses

You may not use the website or Services:

• For an unlawful, fraudulent, deceptive, abusive, or unauthorized purpose;
• To violate intellectual-property, privacy, consumer-protection, or other rights;
• To submit false payment, shipping, order, return, refund, or claim information;
• To obtain multiple refunds, replacements, credits, discounts, or insurance remedies for the same issue;
• To misuse chargebacks or payment disputes;
• To upload malware, viruses, destructive code, or harmful material;
• To interfere with website security or availability;
• To access another person’s account without authorization;
• To collect personal information without lawful authority;
• To scrape or extract content through unauthorized automated means;
• To transmit spam, phishing, or fraudulent communications; or
• To circumvent geographic, payment, security, or order controls.

We may investigate suspected violations, suspend access, cancel affected orders, preserve records, and cooperate with payment providers, carriers, regulators, or law-enforcement authorities where appropriate.

14. Third-Party Services and Links

The Services may rely on Shopify, payment processors, manufacturers, fulfilment facilities, shipping carriers, analytics providers, marketing platforms, communication providers, and other third parties.

Third-party services may be governed by their own terms, privacy notices, security practices, and operating procedures.

Third-party links may direct you to websites or services not operated by Vibe Hoodie Shop.

We are not responsible for the independent content, availability, security, accuracy, policies, or practices of a third party, except to the extent responsibility cannot lawfully be excluded.

15. Privacy and Personal Information

Our collection, use, disclosure, retention, transfer, and protection of personal information are described in our Privacy Policy.

Personal information may be processed by service providers where necessary to:

• Complete payments;
• Produce and fulfil orders;
• Deliver parcels;
• Provide customer support;
• Prevent fraud;
• Conduct analytics;
• Operate marketing programmes where permitted; and
• Maintain website functionality.

16. Errors, Inaccuracies, and Service Changes

Website content may occasionally contain errors, inaccuracies, or omissions relating to:

• Product descriptions;
• Pricing;
• Promotions;
• Shipping or insurance charges;
• Processing or delivery estimates;
• Availability; or
• Other service information.

We may correct inaccurate information, update content, or cancel an affected order where reasonably necessary.

If an order is cancelled after payment because of an error, we will refund the applicable amount paid.

Prices may change without notice. The price displayed at checkout generally applies to the submitted order, subject to obvious errors and applicable law.

We may modify, suspend, or discontinue all or part of the Services.

This does not remove rights arising from an accepted order or another protection that cannot lawfully be excluded.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and Services are provided on an “as is” and “as available” basis.

We do not warrant that:

• The Services will always be uninterrupted, secure, or error-free;
• Every website error will be corrected immediately;
• The Services will work with every device or browser;
• Third-party services will remain continuously available;
• Estimated delivery dates will always be met; or
• Website information will be free from every technical or display error.

This disclaimer does not apply to an express remedy stated in a Vibe Hoodie Shop policy or a consumer right, statutory guarantee, warranty, or remedy that cannot lawfully be excluded.

18. Limitation of Liability

To the fullest extent permitted by applicable law, KONIC LLC, Vibe Hoodie Shop, and their directors, officers, employees, contractors, suppliers, licensors, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses arising from use of or inability to use the Services.

Such losses may include loss of profits, revenue, savings, data, business opportunity, reputation, or anticipated benefit.

To the fullest extent permitted by law, our total liability arising from a particular order will not exceed the amount paid to Vibe Hoodie Shop for the product or order giving rise to the claim.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify KONIC LLC, Vibe Hoodie Shop, and their officers, employees, contractors, licensors, suppliers, and service providers against third-party claims, losses, liabilities, damages, and reasonable costs arising from:

• Your unlawful use of the Services;
• Your material violation of these Terms;
• Your infringement of another person’s rights;
• Content submitted by you; or
• Fraudulent or unauthorized activity conducted through your account.

This obligation does not apply to the extent a claim was caused by our breach, negligence, unlawful conduct, or another responsibility that cannot legally be transferred to the customer.

20. Governing Law and Disputes

These Terms and disputes arising from the Services or a purchase from Vibe Hoodie Shop are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

To the extent permitted by applicable law, legal proceedings may be brought before a court of competent jurisdiction in Wyoming.

Before commencing formal proceedings, the parties are encouraged to contact one another and make a good-faith effort to resolve the dispute informally.

21. General Provisions

Termination

We may suspend or terminate access where we reasonably believe a customer has violated these Terms, engaged in unlawful activity, threatened website security, or abused payment, refund, replacement, insurance, or promotional procedures.

Termination does not remove obligations or liabilities that arose before termination.

Changes to These Terms

We may update these Terms to reflect operational, legal, regulatory, security, technological, or business changes.

The current version will be posted on this page with a revised “Last updated” date.

Where required by law, we will provide additional notice or obtain consent.

Severability

If a provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted or separated from the remaining Terms. The other provisions will remain effective.

No Waiver

A failure or delay in enforcing a provision does not waive the right to enforce it later.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign these Terms as part of a merger, acquisition, financing, restructuring, sale of assets, or transfer of the business, subject to applicable law.

Entire Agreement

These Terms, the policies incorporated by reference, and order-specific terms displayed at checkout constitute the agreement between the customer and Vibe Hoodie Shop concerning the Services.
